Published: Tue, 07/22/14

Hi

The Small Business, Enterprise and Employment Bill, introduced into Parliament on 25 June 2014, contains provisions to implement the Government's Trust and Transparency and Company Filing proposals.

The Bill makes a number of significant changes to company law, including:

  • the introduction of a public register of people with significant control over UK companies
  • restriction on use of corporate directors
  • abolition of bearer shares
  • extension of duties of shadow directors
  • changes to filing requirements, including replacement of the annual return with a process for confirmations
  • option for a private company to elect to use the central register (ie Companies House) in lieu of keeping its own register of members, directors, directors residential address or secretaries
  • changes to the disqualification of directors regime and introduction of a new compensation regime for insolvent companies.
